These Terms and Conditions ("Terms") govern your use of the website, services, and solutions provided by YS Tech Developers ("Company," "we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms in their entirety.

1. Services

YS Tech Developers provides custom software development, web and mobile app development, SEO and digital marketing, AI and data science solutions, UI/UX design, QA testing, cybersecurity consulting, and related IT services. The specific scope, deliverables, timelines, and fees for each engagement shall be outlined in a separate Statement of Work (SOW) or project proposal.

2. Engagement & Proposals

All project proposals, quotes, and estimates provided by us are valid for 30 days from the date of issuance unless otherwise stated. An engagement is considered confirmed only upon: (a) mutual signing of an SOW or service agreement, and (b) receipt of any required advance payment as specified in the agreement.

3. Fees & Payment

Fixed-Price Projects: Payment shall be made in milestones as defined in the SOW. Each milestone payment is due within 7 business days of milestone completion and delivery notification.

Hourly/Time & Materials: Invoices are issued bi-weekly or monthly as agreed, with payment due within 14 business days of invoice date.

Late Payments: Overdue payments shall incur a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend work on any project with overdue payments after providing 5 business days' written notice.

All fees are quoted in USD unless otherwise specified. Client is responsible for any applicable taxes, duties, or bank transfer fees.

4. Project Timeline & Delivery

Timelines are estimates based on the scope defined at the start of the engagement. We will make reasonable efforts to meet agreed deadlines but do not guarantee exact delivery dates. Timeline changes may occur due to: scope modifications, delayed client feedback or approvals, third-party service outages, or force majeure events. Both parties will communicate proactively about any timeline adjustments.

5. Client Responsibilities

The Client agrees to:

• Provide accurate and complete information, materials, and access required for project execution in a timely manner
• Designate a primary point of contact with authority to provide feedback and approvals
• Respond to requests for feedback, approvals, or clarifications within 3 business days unless otherwise agreed
• Ensure that all materials provided to us do not infringe on any third-party intellectual property rights
• Test deliverables and provide consolidated feedback within the agreed review period

6. Intellectual Property

Client IP: All pre-existing intellectual property provided by the Client remains the exclusive property of the Client.

Deliverables: Upon full payment, the Client receives ownership of all custom-developed deliverables as specified in the SOW. This excludes any pre-built tools, frameworks, libraries, or components that we license to the Client on a non-exclusive basis.

Our IP: All proprietary methodologies, frameworks, code libraries, tools, and know-how developed by YS Tech Developers remain our exclusive intellectual property. We grant the Client a perpetual, non-exclusive license to use such items as part of the delivered solution.

Portfolio Rights: Unless otherwise agreed in writing, we retain the right to reference the project, display screenshots, and include the work in our portfolio and marketing materials.

7. Revisions & Change Requests

Each SOW includes a defined number of revision rounds. Additional revisions or changes to the agreed scope ("Change Requests") will be documented, estimated, and approved by both parties before implementation. Change Requests may result in adjustments to timeline and fees.

8. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary, sensitive, or non-public information disclosed during the engagement. This obligation survives the termination of services for a period of 3 years. Confidentiality obligations do not apply to information that: (a) is or becomes publicly available, (b) was known prior to disclosure, (c) is independently developed, or (d) is required to be disclosed by law.

9. Warranties & Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. For a period of 30 days following project delivery (unless extended in the SOW), we will correct any bugs or defects that materially affect the functionality of deliverables at no additional cost.

EXCEPT AS EXPRESSLY SET FORTH HEREIN, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the deliverables will be error-free or operate uninterrupted.

10. Limitation of Liability

IN NO EVENT SHALL YS TECH DEVELOPERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CLIENT FOR THE SPECIFIC ENGAGEMENT GIVING RISE TO THE CLAIM.

11. Termination

By Client: The Client may terminate the engagement with 15 days' written notice. In such case, the Client shall pay for all work completed up to the termination date, plus any non-cancellable third-party costs incurred.

By Us: We may terminate the engagement if: (a) the Client fails to make payment within 30 days of the due date, (b) the Client breaches any material term of the agreement and fails to cure within 15 days of notice, or (c) continuation would require us to violate applicable law.

12. Website Use

You may use our website for lawful purposes only. You agree not to: (a) attempt to gain unauthorized access to any portion of the site or its systems, (b) use any automated means to scrape or collect data from the site, (c) reproduce, distribute, or modify any content without written permission, or (d) use the site in any manner that could damage, disable, or impair its operation.

13. Indemnification

The Client agrees to indemnify and hold harmless YS Tech Developers, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) the Client's breach of these Terms, (b) the Client's use of deliverables, or (c) any materials provided by the Client that infringe third-party rights.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Karachi, Pakistan, in accordance with the Arbitration Act.

15. Amendments

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Your continued use of our website or services after posting constitutes acceptance of the modified Terms. For active engagements, material changes will be communicated directly to the Client.
